LILIWO LLC provides workflow automation, AI assistant, systems integration, monitoring and support, and related information technology services, along with software solutions and digital tools that support them.

We do not provide or resell SMS, voice, or messaging services to the public. Any text messages we send are solely for communicating with you about our automation work and customer support, and only if you opt in.

Features and functionality may vary depending on the particular Service, project, or plan you use.

We may update, improve, modify, or discontinue portions of the Services when reasonably necessary for technical, security, legal, operational, or business reasons.

Eligibility

You must have the legal capacity to enter into a binding agreement to use our Services.

If you access the Services on behalf of a business or organization, you represent that you have authority to accept these Terms on its behalf.

User Accounts

Certain Services may require an account.

When creating or maintaining an account, you agree to provide accurate and current information.

You are responsible for maintaining the confidentiality and security of your account credentials and for activity conducted through your account.

If you believe your account has been compromised or accessed without authorization, please contact us promptly at admin@liliwo.com.

Acceptable Use

You agree to use the Services only for lawful purposes.

You must not:

• Use the Services for fraudulent, deceptive, abusive, or illegal activities.
• Attempt to access another person's account without authorization.
• Attempt to bypass security or access restrictions.
• Introduce viruses, malware, malicious code, or harmful software.
• Interfere with the operation or security of the Services.
• Abuse or intentionally overload our systems.
• Misrepresent your identity or affiliation.
• Use the Services to violate another person's intellectual property, privacy, or legal rights.
• Reverse engineer our software except where expressly permitted by applicable law.
• Use automated systems in a manner that materially interferes with the Services without our authorization.

Fees and Payments

Certain Services may require payment.

Applicable prices, fees, and payment terms will be set out in a written quote or project agreement, or otherwise communicated before you purchase a paid Service.

You agree to provide accurate billing and payment information.

Payments may be processed through third-party payment processors. LILIWO LLC may receive limited transaction information necessary to confirm payments, maintain records, prevent fraud, provide support, and resolve disputes.

You are responsible for applicable taxes or charges associated with your purchase unless otherwise stated.

Care Plans and Subscriptions

If you purchase a monthly care plan or other subscription-based Service, the applicable price, billing period, included work, and renewal conditions will be presented before you purchase it.

Where automatic renewal applies, your payment method may be charged at the beginning of each applicable billing period until the subscription is canceled.

You may cancel an eligible subscription according to the cancellation method provided in your agreement or by contacting us.

Cancellation generally prevents future renewals and does not automatically create a right to a refund for previous payments unless required by law or provided in your agreement.

Refunds

Refunds, where available, are governed by the quote or project agreement you accept and the conditions presented at the time of purchase.

Nothing in these Terms limits any refund, cancellation, or consumer rights that cannot legally be excluded.

Software License

Subject to your compliance with these Terms, LILIWO LLC grants you a limited, non-exclusive, non-transferable, and revocable right to access and use applicable software and Services for their intended purposes.

This license does not transfer ownership of our software, technology, intellectual property, or Services to you, except where a project agreement expressly assigns ownership of work we build for you.

User Content and Data

Our Services may allow you to submit, upload, transmit, or store information, files, or other content (“User Content”).

You retain ownership of your User Content.

You grant LILIWO LLC the rights reasonably necessary to host, process, transmit, back up, display, and otherwise handle User Content for the purpose of operating, maintaining, securing, and providing the Services.

You are responsible for ensuring that you have the necessary rights and permissions to submit User Content through our Services.

Our collection and processing of personal information are described in our Privacy Policy.

Please review our Privacy Policy to understand how we collect, use, disclose, and protect personal information.

SMS Messaging Terms

LILIWO LLC does not offer SMS messaging as a product or service to third parties. The SMS Program described here is an optional communication channel for existing and prospective clients of our automation services.

These SMS Messaging Terms apply to the LILIWO LLC text messaging program (the “SMS Program”).

• Program name: LILIWO LLC Service Updates and Customer Support.
• Program description: By providing your phone number and opting in, for example by checking the SMS consent box on our contact form, you agree to receive SMS messages from LILIWO LLC, including service updates and customer support messages. Service updates may include project status updates, workflow alerts, and reminders for calls you have scheduled with us. We do not send promotional or marketing text messages.
• Message frequency: Message frequency may vary.
• Cost: Message and data rates may apply.
• Opting out: Reply STOP to any message at any time to opt out. After you send STOP, we will send one message confirming that you have been unsubscribed, and you will receive no further messages unless you opt in again.
• Help: Reply HELP for help, or contact us at admin@liliwo.com or +1 (303) 862-9843.
• Consent: Consent is not a condition of purchase.
• Carriers: Mobile carriers are not liable for delayed or undelivered messages.
• Privacy: Your mobile information will not be sold or shared with third parties for promotional or marketing purposes. See the SMS section of our Privacy Policy.

Security

We use reasonable administrative, technical, and organizational measures designed to protect our Services and information processed through them.

However, no internet-based service, electronic transmission, database, or storage system can be guaranteed to be completely secure.

You are responsible for protecting your account credentials, passwords, devices, and other authentication information.

Intellectual Property

The Services and their underlying software, technology, designs, interfaces, logos, trademarks, graphics, text, and other materials are owned by or licensed to LILIWO LLC and may be protected by intellectual property laws.

Except for the limited permission to use our Services under these Terms, no ownership rights are transferred to you.

You may not copy, reproduce, distribute, sell, license, or exploit LILIWO LLC's intellectual property except with our permission or as permitted by applicable law.

Third-Party Services

Our Services may contain links to or integrations with third-party websites, applications, APIs, payment processors, cloud providers, or other services.

Third-party services are independently operated and may be subject to their own terms and privacy policies.

LILIWO LLC is not responsible for independently operated third-party services that we do not control, except where applicable law provides otherwise.

Service Availability

We work to maintain reliable Services, but we do not guarantee that the Services will always be available, uninterrupted, secure, or error-free.

Temporary interruptions may occur because of maintenance, software updates, technical issues, security incidents, third-party outages, or circumstances outside our reasonable control.

Service Changes

We may periodically add, modify, improve, or remove functionality.

Where required by applicable law or contractual commitments, we will provide appropriate notice of material changes affecting paid Services or user rights.

Suspension and Termination

We may suspend, restrict, or terminate access to the Services when reasonably necessary, including when:

• Fraudulent or unlawful activity is detected.
• An account creates a security risk.
• Use of the Services materially disrupts our systems.
• Required payments remain unpaid.
• We are required to do so by law.

Where appropriate and legally required, we may provide notice or an opportunity to resolve the issue.

You may stop using the Services at any time.

Nothing in these Terms excludes warranties or legal rights that cannot legally be excluded.

Limitation of Liability

To the maximum extent permitted by applicable law, LILIWO LLC and its officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages resulting from your use of or inability to use the Services.

Any limitation or exclusion of liability applies only to the extent permitted by applicable law.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold LILIWO LLC harmless from third-party claims, damages, liabilities, and reasonable expenses resulting from your unlawful use of the Services, material violation of these Terms, or infringement of another person's rights.

Governing Law

These Terms are governed by the applicable laws of the State of Florida, United States, without regard to conflict-of-law principles, except where mandatory consumer protection laws provide otherwise.

Dispute Resolution

We encourage both parties to attempt to resolve disputes in good faith before pursuing formal legal proceedings.

Nothing in these Terms prevents either party from exercising rights or remedies available under applicable law.
